Montero Aramburu & Gómez-Villares Atencia is advising Ingenostrum and Andera Partners on the sale to IREN Limited, with a view to expanding their AI Cloud platform in Europe

Montero Aramburu & Gómez-Villares Atencia has advised Andera Partners and Ingenostrum, S.L. (Nostrum Group) within the framework of the agreement reached to sell the company to IREN Limited, an AI Cloud provider with a presence in North America, Europe and the Asia-Pacific region.

This transaction marks IREN’s strategic entry into the European digital infrastructure market and consolidates Spain’s position as a technological hub in southern Europe, strengthening its ability to offer reliable, scalable and sustainable solutions to corporate clients and global digital service providers. The transaction adds approximately 490 MW of secured, grid-connected capacity in Spain to IREN’s platform, alongside a substantial additional development pipeline.

Nostrum Group – Ingenostrum until 2025 – was founded in 2009 and has over 15 years’ experience in energy and digital infrastructure projects. The entry of Andera Partners as a strategic partner in 2023 enabled it to refocus its business model towards the development and operation of next-generation data centres powered by renewable energy. Since then, the group has positioned itself as one of the leading players in the European AI infrastructure market.

The team at Montero Aramburu & Gómez-Villares Atencia that led the transaction comprised Maite Cerezo Montañez (partner), Juan Manuel Martínez Carpio (director), and Macarena Alcántara del Nido (lawyer) from the commercial law department; and Rafael Casado González (partner), Oliva Linares García de Cossío (director) and Begoña Ruíz Pérez (lawyer) from the tax department
