{"id":13169,"date":"2026-02-04T10:26:33","date_gmt":"2026-02-04T09:26:33","guid":{"rendered":"https:\/\/www.monteroaramburugva.com\/?post_type=al-dia&#038;p=13169"},"modified":"2026-02-18T10:28:31","modified_gmt":"2026-02-18T09:28:31","slug":"the-supreme-court-validates-a-90-reinforced-majority-clause-in-a-shareholders-agreement-and-rules-out-the-existence-of-perpetual-agreements-in-permanence-obligations-linked-to-the-status-of-sharehol","status":"publish","type":"al-dia","link":"https:\/\/www.monteroaramburugva.com\/en\/al-dia\/the-supreme-court-validates-a-90-reinforced-majority-clause-in-a-shareholders-agreement-and-rules-out-the-existence-of-perpetual-agreements-in-permanence-obligations-linked-to-the-status-of-sharehol\/","title":{"rendered":"The Supreme Court validates a 90% reinforced majority clause in a shareholders&#8217; agreement and rules out the existence of perpetual agreements in permanence obligations linked to the status of shareholder"},"content":{"rendered":"\n<p><\/p>\n\n\n\r<div id=\"KpisCitas-block_4d67630afea12a6bb7f6cb9184d2c69e\" class=\"KpisCitas noKpis noCita\">\r    <div class=\"onTop\">\r        <div class=\"texts\">\r                        <div class=\"txtBtns\">\r                                                    <div class=\"itemTexto\"><p><strong><u>Supreme Court <\/u><\/strong><strong><u>judgment <\/u><\/strong><strong><u>number 1713\/2025, of 26 November 2025.<\/u><\/strong><\/p>\n<p>The Supreme High Court confirms the judgment handed down by the Provincial Court of Barcelona, dismissing the appeal filed by the majority shareholders of a company against the minority shareholder and confirming the full validity of the shareholders&#8217; agreement entered into between them.<\/p>\n<p>The appellants sought the annulment of a shareholders&#8217; agreement, citing two main grounds:<\/p>\n<ol>\n<li>That the reinforced majority of 90% was equivalent to unanimity, which is prohibited by Article 200 of the Corporate Enterprises Act.<\/li>\n<li>That the executive permanence obligation of two shareholders constituted a perpetual or indefinite agreement for as long as the minority shareholder was a participant.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p>The Supreme Court rejected both claims for the following reasons:<\/p>\n<ul>\n<li>Regarding the reinforced majority of 90%, it pointed out that the agreement was a legitimate reinforcement of the decision-making threshold, freely entered into. It ruled out that it constituted a <em>\u2018tyranny of the minority\u2019<\/em> or abuse of rights, since the agreement was known and accepted by all the partners at its inception, regardless of the subsequent distribution of capital.<\/li>\n<li>Regarding executive permanence, it carries out a systematic interpretation and concludes that the obligation is not perpetual, insofar as its validity for each partner ceases automatically as soon as they cease to hold shares in the company.
