In the capacity of legal advisor and secretary, advising the corporate bodies of listed and unlisted companies, foundations and associations; carrying out statutory amendments, capital increase operations, capital reduction and simultaneous capital reduction and increase, as well as corporate restructuring operations (transformations, mergers, total and partial spin-offs, segregations and global transfers of assets and liabilities).

Legal advice in legal proceedings on challenging corporate resolutions, liability actions against directors and actions arising from breach of the duty of loyalty. Likewise, intervention in arbitration proceedings of a corporate nature. Advice on out-of-court corporate disputes, attending meetings of corporate bodies.

Advice on the preparation and drafting of shareholders’ agreements, contracts for the purchase and sale of companies, purchase and sale of production units, loans and participating loans, contracts between companies and their managing director, joint venture contracts, investment and disinvestment contracts of venture capital and similar entities, contracts for the granting of incentives, etc.

Legal management of insolvency proceedings, advising the insolvent entity; creditors; insolvency incidents concerning challenges to the inventory of assets and rights and the list of creditors; reintegration actions; termination of contracts; claiming claims against the insolvency estate; requesting disposals for the disposal of assets; preparation and drafting of offers for the acquisition of production units of insolvent companies and in the acquisition of production units of insolvent companies; preparation and drafting of restructuring plans, liquidation plans and agreements; and defence of persons affected by the qualification in the qualification section of the insolvency proceedings.
